| 自2004年组建以来，中国化工集团采取“技术合作+反向并购”方式打造利益共同体，通过聘请职业经理人团队提升企业国际化运营能力，先后完成了包括收购瑞士先正达在内的9次大规模海外投资，形成了中国化工海外投资模式。这种模式极大地推动了中国化工集团的创新发展，使其成为全球化工行业的翘楚。通过梳理总结中国化工集团海外投资中的经验与问题，对我国企业如何通过海外投资推动创新发展进行反思。基于中国化工海外投资模式的具体做法、遇到的问题、推广局限性及潜在风险提出相关建议：以“技术合作+反向并购”作为纽带建立长期合作的利益共同体；加强政府间沟通与交流，消除政府扭曲市场的行为误解；积极实施创新人才交流项目，放宽企业、科研机构在人才方面的政策等。 |

| Since its establishment in 2004, CHEMCHINA has adopted a “technical cooperation and reverse merger” approach to create a community of interests. CHEMCHINA has completed nine large-scale overseas investments and formed the overseas investment model of China’s chemical industry. This model has greatly promoted the innovative development of CHEMCHINA, making it a leader in the global chemical industry. By summarizing the experience and problems in CHEMCHINA’s overseas investment, this article reflects on how Chinese enterprises can promote innovation through overseas investment, this paper proposes the establishment of a long-term cooperative interest community with “technical cooperation + reverse mergers and acquisitions” as the link based on CHEMCHINA’s overseas investment models, problems and risks. Then it puts forward relevant suggestions on actively implementing innovative talent exchange projects, implementing policies on talents of enterprises and scientific research institutions more flexibly, etc. |
